1. Patient Coordinator Agreement

Company Mission:
Rewaken Life® partners with clinics in offering medically backed weight loss, focused on improving patient outcomes and increasing clinic profitability. Our program provides FDA-approved treatments, seamless telehealth support, and personalized care.
1. Nature of the Relationship:
You are entering into this agreement as an independent contractor, not an employee. This ensures flexibility and autonomy for both parties. You will not be considered staff, and you cannot bind Rewaken Life to any contracts or obligations.
“Contractor’s relation to the Company shall be, during the term of this Agreement and Contractor’s performance of professional services hereunder, that of an independent contractor. This Agreement shall not be construed as an agreement of employment, or the creation of a partnership or any other form of business entity. Contractor shall not be considered under the provisions of this Agreement, or otherwise, as having an employment status.
2. Duties and Conduct Expectations
You are expected to act professionally at all times. This includes adhering to all relevant state laws and Rewaken Life protocols, avoiding any behavior that is disruptive or harassing, and completing required training and patient consultation procedures.
“Contractor shall act at all times in a professional manner and shall refrain from any action or conduct that is disruptive, unprofessional, or harassing, including but not limited to, conduct which is sexual in content or orientation."
Schedule 1: Contractor Duties & Responsibilities
1. Training & Certification
Successfully complete all required onboarding and certification steps to become a Certified Patient Coordinator with Rewaken Life®.
• Maintain active certification status by fulfilling all required continuing education and product training updates throughout the term of this Agreement.
2. Legal & Ethical Compliance
• Operate at all times in compliance with applicable federal and state healthcare laws and regulations.
• Adhere strictly to Rewaken Life® policies, brand standards, consultation procedures, and platform guidelines.
3. Platform & Consultation Requirements
• Conduct all consultations using the official Patient Coordinator Consultation Form, thoroughly reviewing each section with the client.
• Ensure all clients complete their medical intake and consent documentation via the Rewaken Life® mobile platform before being scheduled for telehealth consultation.
• Provide the client with the final four pages of the Consultation Form for their reference.
4. Communication & Team Engagement
• Attend a minimum of one “Morning Huddle” per week, held live via the Rewaken Life® Facebook group (Monday, Wednesday, or Thursday at 8:40 AM Eastern Time), or view a recorded replay if unable to attend live.
5. Follow-Up & Patient Care
• Schedule and conduct follow-up consultations with patients at least every 30 days while they remain on prescribed medication. These check-ins must include updates on patient weight, nutrition adherence, physical activity, and overall progress.
6. Disclosure of Clinical Roles
• Clearly inform patients that you operate as a Patient Coordinator within a management services structure, and that all medical decisions, prescriptions, and direct patient care are provided by licensed physicians affiliated with the independent Rewaken Life® Medical Team.
3. Confidentiality Agreement
All sensitive patient data, clinic operations, and internal communications must be kept strictly confidential. This clause survives the end of your agreement.
“Contractor agrees that he shall not, during the Term and for so long as any such Confidential Information may remain confidential, secret or otherwise wholly or partially protectable, use such information except in connection with her employment by the Company or divulge the Confidential Information to any third party…”
4. Compensation and Commission
You will be compensated based on commissions generated through your services, as outlined in Exhibit 3. This is the full extent of payment—there are no additional employee benefits provided.
“During the Term of this Agreement, the Company shall Contractor commissions on fee income generated for Rewaken Life as detailed in Exhibit 3… Other than the compensation described in this Section 3, Contractor shall not be entitled to any other benefits.”
5. Termination Clauses
The contract may end for several reasons—mutual agreement, breach, disability, legal regulation change, or by either party with notice. Some obligations (like confidentiality) continue even after termination.
“Upon the expiration or earlier termination of this Agreement, neither party shall have any further obligations hereunder except for… (ii) obligations, promises or covenants contained herein which are expressly made to extend beyond the Term, including the confidentiality and non-solicitation covenants contained in Sections 11 and 12…”
6. Non-Compete & Non-Solicitation
During the agreement and for a period after it ends, you agree not to solicit clients or staff, or engage in any business that competes with Rewaken Life. This clause is legally enforceable and key to protecting Rewaken Life’s interests.
“Contractor will not, directly or indirectly… enter into or engage in the selling of any and all services and products that directly or indirectly compete with the Company… Contractor shall not: (i) solicit for treatment any former or existing patient… (ii) induce or attempt to influence any employee or patient of the Company…”
7. Dispute Resolution and Arbitration
Any disputes between you and Rewaken Life will be resolved through arbitration in the State of Florida—not through court litigation or class actions. Each party bears equal arbitration costs.
“Any controversy or claim arising out of or relating to this contract… shall be settled by arbitration in the State of Florida… No claim may be arbitrated on a coordinated, class, mass, collective or consolidated basis. No claim may be brought as a class action…”
8. Governing Law
This agreement is governed under the laws of Florida and represents the entire legal understanding between you and Rewaken Life. Any changes must be in writing.
“This Agreement sets forth the entire understanding between the parties… and all prior agreements or understandings… are superseded by this Agreement… This Agreement shall be governed by the laws of the State of Florida.”
